Speedy Publishing LLC Publishing Agreement

Parties in This Agreement
This is a Publishing Agreement between the author (herein called author) and Speedy Publishing LLC, a Delaware formed corporation, with its principal offices at 40 E. Main St., #1156 Newark, DE 19711 (herein known as the publisher) for the literary work referred to in this Agreement (herein known as the work).

Granting the License to Publish
Print and Physical Book Format
The author hereby grants to the publisher the non-exclusive, global or worldwide license to print, publish, distribute and to sell the work submitted in print form in the English, French, German, Spanish, Portuguese, Japanese and Chinese language. The author also grants to the publisher the right to create excerpts from the work viewable on the publisher’s website, or any other retail partner’s website based on agreements with the publisher to facilitate online and offline sales of the work in print or physical book formats.

EBook and Downloadable Format
The author hereby grants to the publisher the non-exclusive, global or worldwide license to use, reproduce or copy, modify, distribute, transmit and store in a repository the work, in its entirety and in multiple formats and file extensions, and compilations and collective works such as cover art, interior book images that include all or part of the work in the eBook format.

The author also grants to the publisher the right to create excerpts from the work viewable on the publisher’s website, or any other retail partner’s website based on agreements with the publisher to facilitate online and offline sales of the work in eBook or downloadable format.

Repository Storage and Monthly Fees
The author grants to the publisher the right to store, use, deliver and distribute electronic copies of the work as required to facilitate the printing, book discovery and distribution process. This grant includes the publisher’s retail and distribution partners. The author grants the publisher the right to deduct repository fees of $1 per title listing per month from royalties. This fee allows us to store, transmit and distribute electronic copies of the work as required to facilitate availability of eBook and paperback edition to the publisher’s retail and distribution partners.

Membership Fees
The author agrees to pay the publisher membership fees as outlined in this agreement charged monthly through PAYPAL or direct charges to your credit card on the 30th day after your first or initial payment.

Membership Renewal and Cancellation
The author membership automatically renews for further successive terms of one month after the set term. The author may cancel this agreement at any time after the initial term by providing written notice within five (5) days of their first month to the club address. Verbal and phone cancellations are not valid and binding.

Literary Rights
All rights that are not expressly granted to the publisher by the author are reserved to the author.

Term of the Agreement
All publisher’s rights expressed in this agreement shall extend for two (2) years after the date the author first submits the electronic files of work to the publisher for distribution to retail partners. This agreement will automatically renew for consecutive one (1) year terms if neither party gives at least thirty (30) days advance notice of removal of a title, prior to the end of the then-current term of the agreement, that such party chooses to terminate.

Author’s Right of Removal of a Title
The author is entitled to terminate this Agreement effective thirty (30) days after publisher’s receipt of a termination notice. Upon the effective date of such termination, the publisher will have up to eight (8) weeks to remove the title from sale with retail partners.
The author shall have the right to purchase the unique identifier from the publisher for a charge no less USD$1 and no more than USD$2.

Commissions, Royalties & Royalty Payments
Commissions on Sales
The publisher will charge a commission on all sales of the work through its distribution and retail partners, third party affiliates and other retail channels of no less than fifteen percent (15%) and no more than twenty-five percent (25%) of the net amount received from retailers for each sale of the work.

Royalty Payment
The publisher will make twelve (12) royalty payments per year, if earned, to the author within sixty (60) days of the end of each calendar month and shall post royalty statements on publisher’s website.
If the royalty payment due in a single month quarter is less than twenty-five U.S. Dollars ($25) the balance will be applied to the next calendar month until the royalty payment due equals or exceeds Twenty-five U.S. Dollars ($25), at which time the publisher shall make the appropriate royalty payment to the author. The publisher will make royalty payments using PAYPAL payments, DIRECT DEPOSIT in the US, WIRE to the UK, CANADA and CHECK PAYMENTS for ALL OTHER COUNTRIES.

Manuscript Submission Guidelines and Author Warranties
Manuscript Acceptance
The publisher reserves the right to not to accept a manuscript submission. In this event, the publisher will advise the author of the reasons why the submission was rejected and at the publisher’s discretion advice the author of steps to take to ensure acceptance. The publisher shall have no obligation to accept the submission package.
Formats Required
The author must deliver the manuscript in AT LEAST one of the following formats EPUB, Microsoft Word, .MOBI or PDF.

Author Warranties
The author represents and warrants the following to the publisher before manuscript submission:
(a) The author is the sole author of the work and the MUST BE the sole owner of the copyright in the work. The author must also be the sole owner of the copyright for any cover art or interior graphics used inside the manuscript supplied by the author for the work. If the author has written permission the author will need to provide this upon request by the publisher along with any third party credits for the work.
(b) The author has the authority and right to enter into this Agreement with the publisher and to grant the rights herein granted
(c) The author warrants that this Agreement with the publisher does not conflict with any existing agreements between the author and any other individual, entity or organization.
(d) The work is not in the public domain and is entirely original or what is typically called unique content save and except for portions thereof the author possess legally written licenses and or permissions for this content.
(e) The work is free of liens, claims, interests or rights in others of any kind
(f) The work and its publication by the publisher, do not and will not violate or infringe upon any personal or proprietary rights, including copyrights, trademarks, secret rights, contractual rights, individual or privacy rights and publicity rights.
(g) The work is not defamatory or obscene and is not in any other way illegal, this is not limited to recipes, formulae, typical instructions and or recommendations found in the work.
(h) The author warrants that the work is not injurious to readers, users, or third parties.
(i) The author warrants that all information in the submission package and provided by the author is truthful and accurate to the best of their knowledge.

The author must complete the FULL title submission form and the author biography sketch and all other metadata needed for distribution by the publisher to effectuate this Agreement.

Copyright and Title Registration
The publisher will include a copyright notice based on the author’s instructions in each copy of the work and to assign a unique ISBN for each print copy, eBook and audio versions of the work.

Publication, Promotion And Pricing
Publication Timeliness
The publisher agrees to publish the work within sixty (60) days after submission and approval of all manuscripts and materials related to the work.
If the publisher does not make the work available for distribution to retail partners within sixty (60) days except for delays caused by circumstances beyond the publisher’s control.

Publishing Format
The publisher will publish the work in paperback, e-book and audio editions where authorized to do so based on membership packages. If the author requires a hardcover option they must contact the Publish Direct Team to make a formal request. The publisher will NOT edit or make changes to the author’s manuscript save and except margins and formats including interior design guidelines.

Cover Design and Interior Images
The author must provide cover art for the work that has images that are no less than 300 pixels per inch (PPI). The interior graphics of the work provided by the author must also be a minimum of 300 pixels per inch (PPI).

Pricing and Retail Sales
The author determines the details of publication, including but not limited to the appearance and price of the work.
The author is required to set the SUGGESTED RETAIL PRICE for the work.
The publisher will make the work available for purchase to retail partners at a fifty five percent (55%) discount on the SUGGESTED RETAIL PRICE that is set by the author.
The publisher will advise the author on printing costs before requesting a SUGGESTED RETAIL PRICE on paperback and hardcover books.

Marketing Services
The author grants the publisher rights to use marketing services provided by the publisher or third party services contracted by the publisher to promote the work. This is not limited to press releases, social media marketing, paid advertising, book giveaways and proprietary techniques used to promote the work.
The publisher may post information regarding author and or the work on the publisher’s website or any other third party website. The information might include but would not be limited to the title and sub-title of the work, the author name and biography, an excerpt from the work, the SUGGESTED RETAIL PRICE and links to retailers.

Bankruptcy and Insolvency
If the author commences bankruptcy proceedings, the author MUST inform the publisher within seven days (7) of the commencement of said proceedings at that time all rights to the work shall immediately revert to the author.
If the publisher commences bankruptcy proceedings, the publisher will inform the author seven days (7) of the commencement of said proceedings and all rights to the work shall immediately revert to the author.

Termination of Agreement by Publisher
Upon giving thirty (30) days advance written notice, the publisher may terminate distribution and marketing of the work without cause. At that point the rights to the work immediately reverts to the author. The publisher reserves the right to terminate this agreement and to cease and desist distribution and marketing of the work at any time, effective upon forwarding notice to the author, if after review, the publisher under advisement assumes that the work may place the publisher in the risk of litigation or any other adverse consequences. This notice may be given before, during or after distribution and marketing of the work by publisher has commenced.

Indemnification
The author agrees to indemnify the publisher, and all third party distributors and retailers and any other approved seller of the work from and against any financial losses, lost profits, damages, incurred liabilities, court judgments, awards, decrees, general and financial settlements, or expenses (including without limitation, attorney’s fees and court costs) as a result of, in association with, due to any breach of any of the representations and warranties by the author.
These said representations, warranties and indemnities made by the author shall remain in effect subsequent to termination of this agreement.
The author shall not be liable for any content, interior graphics and art used in the work by the publisher or third parties authorized by the publisher.
The publisher is defined as but not limited to the company shareholders, company officers and directors, the employees, company subsidiaries, distributors, marketing partners, attorneys, and banking partners and any other person, entity or organization that the publisher extends its representations and warranties to while distributing and promoting the work.

Notifications
All notices must delivered to in writing submitted via electronic mail and sent by registered post or overnight courier to author’s address

Copyright Infringement
During the term of this agreement any copyright applicable to the work is infringed, the author must to commence an action for copyright infringement in author’s name.

General Provisions
This agreement is governed by the internal laws of the State of Delaware as a contract executed without regard to conflict of laws rules, and shall be binding upon the estate and executors of the author.
